4. Fee Structure & Performance-Based Compensation

By participating in our SMA, you agree to the following fee structure:

  • 30% Performance Fee (High-Water Mark Applied)

  • 0-2% Annual Management Fee (Deducted Quarterly)

  • No Lock-Up Period: Investors may withdraw at any time.

Fees are deducted directly from the managed account at the agreed intervals.

5. Limitation of Liability & Indemnification

  • Axe Capital Holdings LLC is not liable for losses incurred due to:

    • Market downturns or investment performance.

    • Exchange failures, wallet security breaches, or custodian insolvencies.

    • Government enforcement actions, regulatory changes, or taxation policies.

  • Indemnification Clause:

    • Investors agree to hold Axe Capital Holdings LLC, its affiliates, and employees harmless from any claims, damages, or losses arising from investment activities.

6. Privacy & Data Protection

Axe Capital Holdings LLC collects, stores, and processes personal data under strict security measures outlined in our Privacy Policy.

By using our services, you acknowledge and consent to:

  • Data Processing for Compliance Purposes (KYC, AML, tax reporting).

  • Transaction Monitoring for fraud prevention.

  • Encrypted Communication & Storage of sensitive financial data.

7. Governing Law & Dispute Resolution

  • These Terms are governed by the laws of the State of New Jersey, USA.

  • Any disputes will be resolved through binding arbitration in New Jersey, NJ.

  • Class Action Waiver: Investors agree not to participate in any class-action lawsuit against Axe Capital Holdings LLC.
